CMVM fees
The applicant is charged with an amount of €7,500 by the CMVM for the voluntary request of delisting of its shares, regardless of whether it is granted or refused.
Euronext fees
Issuers must pay a delisting fee to delist (voluntarily or not) any class of its Equity Securities from a Euronext Market:
► Euronext Access €5,000
► Euronext Growth/Euronext €10,000
Nonetheless, this delisting fee is not payable if:
► It is a result of an acquisition and the acquiring company requests an Initial Admission to trading of its Equity Securities on any Euronext Market
► The Equity Securities to be delisted have been replaced for new Equity Securities from an already listed Issuer on any Euronext Market
► It is a result of a judicial winding up proceedings
► The Equity Securities remain admitted on a Euronext Market
Redemption or cancellation of securities
Cancellation means any annulment or reduction of the quantity of securities held in the issuing account, namely in case of:
► Redemption operations processed outside the system
► Removal of issues from the centralized system by the issuer’s decision
► Cancellation of securities due to the merger by incorporation in a company, which shares representing the share capital are not registered in the centralized system
A monthly fixed fee must be charged to the issuer for the redemption or cancellation of securities, subject to discounts based on the number of similar operations performed during the year, according to the following table.
The fee due for the redemption or cancellation of securities is charged immediately after the event, whenever it implies the cancellation of the securities issue in the centralised securities system or whenever occurs the extinction of the issuer, namely by a merger, demerger, dissolution or liquidation of the company.
